Every lot sold on Cadence is a single, exclusive transfer. The following terms apply to all transactions on the platform and form a binding agreement between the buyer, the seller, and the house.

1. The transfer

When a lot is acquired, the seller assigns to the buyer the exclusive, perpetual, worldwide and irrevocable right to use, reproduce, distribute, perform, broadcast, sync and modify the work in any medium known or yet to be invented. The lot is removed from the catalogue at the moment of payment and cannot be re-sold by Cadence to another party.

2. Ownership and credit

Underlying copyright transfers in full to the buyer unless otherwise stated in the lot description. The buyer is free to credit, omit credit, or re-attribute the work. Sellers retain the right to be identified as the original author for archival and biographical purposes only.

3. Seller warranties

By listing a lot, the seller confirms that the work is original, that they hold every right being sold, that no third party retains a claim (publisher, label, co-writer, sample owner, featured performer), and that the recording is free of uncleared samples or AI-generated voices replicating identifiable artists.

4. Buyer obligations

The buyer agrees that the acquired work will not be used to promote unlawful activity, to generate synthetic clones of the original performer's voice, or to train machine-learning models intended to reproduce the seller's identity. All other uses — commercial, editorial, derivative — are permitted.

5. Payment and fees

All sales are processed in USD through Stripe. The seller receives 90% of the final sale price. Cadence retains a 10% house fee. Payout is released to the seller's connected account once Stripe clears the transaction, typically within 2–7 business days depending on the seller's country.

6. Final sale

Every transaction on Cadence is final. There are no refunds, returns, chargebacks or exchanges, except where required by applicable consumer protection law. Buyers are encouraged to preview audio and read the lot description in full before completing checkout.

7. Disputes

If a buyer believes a lot misrepresents the rights being sold, they may contact the house within 14 days of acquisition. Cadence will mediate in good faith and, where a clear breach of warranty is established, will refund the buyer and recover the payout from the seller's account.

8. Governing law

These terms are governed by the laws of the seller's country of residence for matters of authorship and assignment, and by the laws of the buyer's country of residence for matters of consumption and use. Disputes are resolved through binding arbitration unless local law requires otherwise.
